1. Agreement to these terms
These Terms and Conditions ("Terms") govern your use of the website at klaros.co.za and the Klaros platform at tool.klaros.co.za (together, the "Service"), provided by Klaros (Pty) Ltd, Reg. No. 2023/583749/07, VAT No. 4740313749, of 32 Fisk Road, Noordheuwel, Krugersdorp, 1739, South Africa ("Klaros", "we", "us"). By creating an account, subscribing or using the Service, you agree to these Terms. If you subscribe on behalf of a company, you confirm that you may bind that company to them.
Where your organisation has a separate signed agreement with Klaros (for example an institutional licence), that agreement applies and takes precedence over these Terms where they differ.
2. The Service
Klaros gives subscribers access to South African customs import and export data at Movement Reference Number (MRN) level, with individual traders shown only by an anonymised reference number, together with reports, dashboards and email alerts based on that data.
3. Accounts and logins
- Each login is for one named person and may not be shared.
- You must give accurate information and keep your password and one-time PINs confidential. You are responsible for activity under your login.
- The account manager for a company subscription may add, remove and replace the users on that subscription, up to the number of logins paid for.
- A subscription may be limited to agreed industries or tariff chapters. Data outside that scope is not included.
4. Subscriptions, prices and payment
- Subscriptions run for 12 months and are paid in full in advance. Prices are shown on our website and exclude VAT unless stated otherwise; VAT is added at the standard rate.
- Online payments are processed by our payment provider, Paystack. Klaros does not see or store your card or bank details.
- Access starts once payment is confirmed. A tax invoice is issued for every payment.
- Logins added during a subscription are charged for the months remaining until the subscription's end date.
- We may change our prices. A change applies from your next renewal, not to a subscription already paid for.
5. Renewal, expiry and refunds
- Subscriptions do not renew automatically. We will remind you before your end date and you can renew for a further 12 months by paying the renewal invoice or online.
- If a subscription is not renewed, access ends on the end date. Your account details are kept so that you can renew later.
- Because the subscription gives immediate access to the full data set, fees paid are not refundable, except where South African law requires a refund.
6. Acceptable use
You may use the data, reports and analysis in your own business and quote figures and findings from them. You may not:
- Resell, redistribute or publish the underlying data in bulk, or give access to people outside your subscription;
- Attempt to identify the traders behind the anonymised reference numbers, or otherwise get round the anonymisation;
- Scrape, copy at scale, reverse engineer or interfere with the platform, or exceed reasonable download limits; or
- Use the Service for any unlawful purpose.
7. Data accuracy
Trade data comes from SARS customs declarations as received. We take reasonable care in processing and presenting it, but we do not guarantee that it is complete, accurate or current, and the Service is provided "as is". Screening and analysis features (for example price or compliance indicators) are indications only and are not legal, customs or trade remedy advice. Decisions based on the Service are your own responsibility.
8. Intellectual property
The Service, including its software, reports, design and the Klaros name and logo, belongs to Klaros (Pty) Ltd. Your subscription gives you the right to use the Service as set out in these Terms. Analyses and documents you produce yourself from the data belong to you.
9. Suspension and termination
We may suspend or end access if these Terms are breached, if a login is shared or misused, or if we reasonably believe an account puts the security of the Service at risk. Where practical, we will tell you first and give you a chance to put the matter right.
10. Privacy
Our Privacy Policy and Cookie Policy explain how we handle personal information and cookies.
11. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows when they were last revised. Continuing to use the Service after a change means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa, and disputes are subject to the jurisdiction of the South African courts.
